Hanzo co-founded the first SEC-approved crowdfunding token offering, bridging traditional crowdfunding with tokenized securities.
Today we are announcing our role in a milestone for regulated digital assets: the first SEC-approved crowdfunding token offering.
Background
Hanzo started in crowdfunding. Crowdstart, our original platform, helped creators launch products and build businesses. When blockchain technology matured enough for real-world financial applications, the convergence was natural.
The question was never whether tokenized crowdfunding would happen. The question was whether it could happen legally and safely.
What We Built
Working with legal and compliance partners, we built the infrastructure for a Regulation CF token offering that satisfied SEC requirements:
- KYC/AML: Identity verification for all participants
- Investment limits: Automated enforcement of annual investment caps
- Transfer restrictions: Smart contract enforcement of holding periods
- Reporting: Automated regulatory reporting
- Investor dashboard: Real-time portfolio visibility
The technical challenge was embedding regulatory compliance into smart contract logic. Transfer restrictions are not suggestions — they are code-enforced constraints that cannot be bypassed.
Why This Matters
Traditional crowdfunding platforms suffer from a liquidity problem. You invest in a project and wait — months or years — for a return. There is no secondary market, no price discovery, no way to exit early.
Tokenized securities change this equation. Compliant secondary trading becomes possible. Investor liquidity improves. Project creators access capital more efficiently.
Our Role
Hanzo provided the technology layer: tokenization infrastructure, smart contract development, KYC integration, and the investor-facing application. Our commerce platform's existing payment processing, identity verification, and compliance infrastructure made us uniquely positioned to bridge the gap between traditional crowdfunding and digital assets.
Looking Forward
This is a first step. The regulatory landscape for digital securities is evolving rapidly. We are building infrastructure that adapts to regulatory changes without requiring investors or issuers to change their workflows.
